Item 8.01 Other Items.

On October 26, 2023, Terran Orbital Corporation (the “Company”) held a previously and publicly announced virtual town hall style event that was open to the public and included a live audio and video stream (the “Town Hall”). During the Town Hall the Company's Chief Executive Officer, Marc Bell, and the lead independent of the Company's board of directors, Stratton Sclavos, provided a financial, operational, and strategic update (the “Operational Update”).

A copy of the transcript of the Operational Update is attached hereto and furnished herewith as Exhibit 99.1 and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended, or the Exchange Act.
