Item 8.01 Other Items.

As reported by the Wall Street Journal on December 11, 2023, Terran Orbital Corporation (the “Company”) is conducting a formal review of strategic alternatives to maximize shareholder value. The Company has engaged Jefferies LLC to provide transaction advisory services in connection with this process, which may include an investment, sale of the Company, “take private” transaction or an alternative strategic relationship.

The Company has not set a definitive timetable for completion of the strategic review or any resulting transaction, and there can be no assurance regarding the results or outcome of this process. It is possible that the Company does not pursue a strategic alternative or that a transaction is not consummated.
